Terms of Service

1. Acceptance of Terms

By accessing or using the Nutracie platform, website, APIs, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Nutracie provides an AI-powered bioinformatics platform consisting of NutraDiscover, NutraGenome, NutraOmics, and NutraFold (collectively, the "Platform"). The Platform offers computational tools for drug discovery, genomic analysis, multi-omics integration, and protein structure prediction. Features and availability may vary by subscription tier.

3. Account Registration

To access the Platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use.

4. Subscription and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We reserve the right to modify pricing with 30 days' notice. Enterprise agreements may include custom terms negotiated separately.

5. Intellectual Property

Your Data: You retain all rights, title, and interest in your research data, including genomic sequences, molecular structures, and analysis results uploaded to or generated through the Platform. Nutracie does not claim ownership of your data.

Our Platform: The Platform, including all software, algorithms, models, documentation, and content, is the proprietary property of Nutracie, Inc. and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Platform during your subscription period.

6. Acceptable Use

You agree not to: reverse engineer, decompile, or disassemble any part of the Platform; use the Platform to develop competing products; share account credentials with unauthorized users; upload malicious code or attempt to compromise system security; use the Platform in violation of applicable laws or regulations; or exceed the usage limits of your subscription tier.

7. Data Processing

We process your data solely to provide the Services. For customers subject to HIPAA, GDPR, or other data protection regulations, additional terms may apply as outlined in our Data Processing Agreement (DPA), available upon request. Enterprise customers may execute a Business Associate Agreement (BAA).

8. Service Level Agreement

Enterprise customers receive an SLA guaranteeing 99.9% uptime for the Platform. Scheduled maintenance windows are excluded from uptime calculations. Service credits are issued for downtime exceeding the SLA commitment, as detailed in the Enterprise Agreement.

9. Limitation of Liability

The Platform is provided for research and informational purposes. Nutracie does not guarantee the accuracy of predictions, analyses, or results generated by the Platform. Results should be validated through independent experimental methods before clinical or regulatory use. To the maximum extent permitted by law, Nutracie's total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately for violation of these Terms. Upon termination, you may export your data within 30 days, after which it may be deleted in accordance with our data retention policy.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association.
